Service.

Effective August 28, 2026. These Terms are a binding agreement between you and VoxaPulse.

1. Acceptance and eligibility

By creating an account, checking the acceptance box, accessing, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you use the Service for an organization, you represent that you can bind it. You must be at least 18 and legally able to contract. If you do not agree, do not use the Service.

2. The Service

VoxaPulse provides automated, AI-assisted speech recognition, translation, captions, audio playback, and optional transcripts for online meetings. Features, supported languages, availability, latency, and output quality may vary by device, network, speaker, language, accent, terminology, and third-party provider.

3. AI and translation warning

VoxaPulse is not a certified interpreter or translation service. Outputs are generated automatically and may be inaccurate, incomplete, delayed, offensive, biased, or misleading. The Service may omit, add, or change words, names, numbers, dates, tone, or meaning. Do not treat any output as an official, sworn, certified, or verbatim translation.

You must independently review translations and confirm important information directly with the speaker or a qualified human professional.

4. No high-risk or emergency reliance

Do not use or rely on the Service for emergencies or as a substitute for a qualified interpreter or professional advice in medical, legal, immigration, court, law-enforcement, financial, safety-critical, employment, accessibility, or other high-stakes matters. Use a certified or otherwise qualified human interpreter where law, policy, contract, or reasonable care requires one. VoxaPulse does not provide legal, medical, financial, or other professional advice.

5. Your responsibilities and consent

You are responsible for your meetings, inputs, use of outputs, and decisions based on them. You must obtain every notice, consent, permission, and legal basis required to capture, process, translate, transmit, or save any participant's voice, communications, or personal information. Recording and consent laws vary by location. You must not secretly monitor anyone or use the Service where prohibited.

6. Accounts and acceptable use

Keep credentials secure and promptly report unauthorized use. You may not misuse the Service; violate law or another person's rights; submit content you lack permission to process; harass, discriminate, deceive, surveil, or impersonate; introduce malware; bypass limits or security; reverse engineer except where law permits; scrape, resell, or use the Service to build a competing product; or use outputs to make unlawful automated decisions about a person.

7. Content and license

As between you and VoxaPulse, you retain your rights in content you provide. You grant VoxaPulse a limited, worldwide license to host, copy, transmit, process, and create technical transformations of that content only as needed to provide, secure, support, and improve the Service as described in the Privacy Policy. You represent that you have all rights and permissions necessary for this processing.

8. Fees, subscriptions, and taxes

Prices are shown before purchase and may exclude applicable taxes. Subscription charges recur until canceled. Unless an order says otherwise, cancellation stops future renewal and takes effect at the end of the current paid period. Usage tokens, limits, expiration, and refund eligibility follow the plan and checkout terms presented at purchase. You authorize our payment processor to charge your selected payment method.

9. Third-party services

The Service may interoperate with meeting platforms, browsers, AI providers, cloud infrastructure, and payment processors. Their terms and privacy practices apply to their services. VoxaPulse does not control and is not responsible for third-party services, content, outages, changes, or acts. We may change providers or integrations and cannot guarantee continued compatibility.

10. Service changes and suspension

We may modify, limit, suspend, or discontinue all or part of the Service, including to maintain security, comply with law, address risk, or enforce these Terms. The Service may be interrupted, delayed, unavailable, or lose data. We may suspend or terminate access for a material breach, fraud, security risk, nonpayment, or unlawful use. You may stop using the Service and cancel your account at any time.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VOXAPULSE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXAPULSE AND ITS AFFILIATES, SUPPLIERS, AND PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OPPORTUNITY, ARISING FROM THE SERVICE OR OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY.

13. Liability cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXAPULSE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID TO VOXAPULSE FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain exclusions, so they apply only to the extent permitted.

14. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless VoxaPulse and its affiliates, suppliers, and personnel from third-party claims, damages, losses, and reasonable costs arising from your content, meetings, violation of these Terms or law, failure to obtain required consent, or infringement of another person's rights. This obligation does not apply to the extent a claim results from VoxaPulse's own unlawful conduct.

15. Disputes and governing law

Before filing a claim, each party will give written notice and try in good faith for 30 days to resolve the dispute. These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without conflict-of-law rules. Subject to mandatory consumer law, courts located in Vancouver, British Columbia have exclusive jurisdiction. Nothing here waives rights that cannot lawfully be waived in your place of residence.

16. Changes and general terms

We may update these Terms. We will post the new version and, for material changes, provide reasonable notice and request renewed acceptance when appropriate. Continued use after the effective date means acceptance where law permits. If one provision is unenforceable, the rest remains effective. Failure to enforce is not a waiver. You may not assign these Terms without consent; VoxaPulse may assign them in connection with a reorganization, financing, or sale.
